As to our commercial contracts practice, over the years we have provided advice and guidance to various national and international companies in negotiating and implementing complex secured and unsecured transactions that eventually span every form of business.

The attorneys at STM are highly skilled in drafting, negotiating and amending all types of commercial contracts (e.g. sale purchase agreements, receivable and share assignments, international sales, leases, distribution agreements, joint-ventures, franchises, license agreements, loans, agency agreements, enterprises, any type of collaterals, insurance and re-insurance agreements, all types of services agreements).

Selective list of projects

• Assistance of a major Romanian company through some of its most important corporate operations (negotiating the conditions of minority shareholders withdrawals, assisting the majority shareholder through GMS's, amendment of company's articles of incorporation, as well as performing all necessary registrations).
• Advising two members in the board of directors of a major Romanian aluminium corporation in connection with an abusive discharge refusal; assisting them through the GMS's held in this respect as well as through negotiations with the corporation.
• Assisting the director in an international bank with respect to the negotiations and drafting of the lease agreement for his Bucharest residency.
• Advising a Romanian subsidiary of a major multinational company on drafting several assets and land sale purchase agreements.
• Advising a Romanian subsidiary of a foreign construction company in connection with the interpretation and enforcement of a road construction agreement with its local subcontractor.
• Assistance of a major Romanian insurance company on the interpretation and enforcement of a re-insurance agreement involving life insurances.
